These Terms of Service ("Terms") are a binding agreement between you and Skylark Creations LLC ("Skylark," "we," "us," or "our") governing your access to and use of Syntopica, our websites, applications, browser extension, and related services (collectively, the "Service").
By creating an account, installing or using the extension, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if:
- you are at least 13 years old;
- you are legally able to enter into a binding agreement; and
- your use of the Service is not prohibited by applicable law.
If you are under the age of majority where you live, you may use the Service only with the consent and supervision of a parent or legal guardian. The Service is not intended for children under 13.
2. Your Account
You may need an account to use some or all parts of the Service. You agree to provide accurate information, keep it up to date, and maintain the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account, including activity through the browser extension. You must notify us promptly at librarian@syntopica.ai if you believe your account has been compromised or used without authorization.
We may suspend or terminate accounts that violate these Terms, create risk for the Service or other users, or are required to be suspended by law.
3. The Service
Syntopica is an AI-powered reading companion that helps you organize, analyze, and explore your reading. Features may include:
- importing your Amazon library and Kindle highlights through the Syntopica browser extension;
- storing and organizing books, highlights, notes, collections, and reading activity;
- AI-assisted chat, reading guides, analyses, syntopical briefs, semantic search, and recommendations;
- optional voice transcription and photo-based book identification; and
- data export and other account tools we may make available from time to time.
Some features may be experimental, may change over time, or may be discontinued.
4. Importing Amazon and Other Third-Party Content
The Service may allow you to import content from Amazon pages or other third-party sources. You are responsible for making sure you have the rights and permissions needed to access, import, and use that content with the Service.
You acknowledge and agree that:
- Syntopica is not affiliated with, endorsed by, or sponsored by Amazon;
- your use of the browser extension and any imported content must comply with applicable law and any terms, policies, or restrictions of the third-party service you use;
- we are not responsible for the availability, accuracy, or continued accessibility of third-party sites, APIs, data, or content; and
- changes to third-party websites, APIs, or terms may affect the Service or your ability to import data.
We may limit, suspend, or discontinue import functionality at any time.
5. User Content
5.1 Your content
You may submit, upload, import, record, store, or generate content through the Service, including account information, book data, highlights, notes, collections, chat prompts, messages, feedback, audio, images, and other materials ("User Content").
As between you and Skylark, you retain any rights you have in your User Content.
5.2 License you give us
You grant Skylark a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, adapt, format, analyze, create embeddings from, and otherwise process your User Content solely as reasonably necessary to:
- provide, operate, maintain, and secure the Service;
- synchronize imported data and support browser-extension workflows;
- generate AI-assisted features and outputs you request;
- troubleshoot, prevent abuse, and improve performance;
- comply with law and enforce these Terms; and
- create backups and maintain business records.
This license ends when your User Content is deleted from our active systems, except to the extent retention is reasonably necessary for backups, security, legal compliance, dispute resolution, or rights already granted to our service providers for processing already underway.
5.3 Your responsibilities for User Content
You represent and warrant that you have all rights, permissions, and authority needed to submit and use your User Content with the Service, and that your User Content and use of the Service will not violate any law, infringe or misappropriate any third-party rights, or breach any agreement you have with another person or service.
6. AI Features and Outputs
The Service uses third-party AI models and tools, including OpenAI, to power certain features.
You understand and agree that:
- AI features may produce content that is incomplete, inaccurate, outdated, biased, or otherwise unsuitable for your intended use;
- AI outputs are provided for informational and creative purposes only and are not legal, medical, financial, therapeutic, or other professional advice;
- you are responsible for reviewing and verifying AI outputs before relying on or sharing them; and
- because AI systems generate probabilistically, output may not be unique and similar output may be generated for other users.
As between you and Skylark, and subject to applicable law and third-party rights, you may use the output generated for your account. Our provision of output does not transfer ownership of the Service, models, software, or any third-party technology.
7. Acceptable Use
You agree not to, and not to help others to:
- use the Service in violation of any law, regulation, or third-party right;
- access or use another person's account without permission;
- interfere with or disrupt the Service, including bypassing rate limits, access controls, or security measures;
- reverse engineer, decompile, or attempt to discover source code or underlying components of the Service except where prohibited by law from restricting that activity;
- use automated means to scrape, harvest, or extract data from the Service itself, except through features we expressly provide;
- upload or transmit malware, harmful code, or content designed to damage systems or data;
- use the Service to harass, defame, threaten, stalk, exploit, or otherwise harm others;
- use the Service to infringe intellectual property, privacy, publicity, or other rights;
- use the Service to build or improve a competing product or dataset using unauthorized access to the Service or by systematically extracting outputs at scale; or
- use the Service in any manner that could create liability for Skylark, our users, or our service providers.
We may investigate violations and suspend or terminate access as appropriate.
8. Privacy
Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Service, you acknowledge that we may process your information as described in the Privacy Policy.
9. Paid Features
Some parts of the Service may require payment now or in the future. If you purchase a paid feature, plan, or subscription:
- you agree to pay the fees and any applicable taxes disclosed to you at the time of purchase;
- recurring subscriptions, if offered, will renew unless you cancel before the renewal date;
- except as required by law or expressly stated otherwise, fees are non-refundable; and
- we may change pricing prospectively by providing notice through the Service or by email.
Additional billing terms presented at checkout or in an order form will control in the event of a conflict with this Section.
10. Intellectual Property
The Service, including its software, design, branding, text, graphics, interfaces, and all related intellectual property rights, is owned by Skylark or its licensors and is protected by law.
Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use our name, logos, or branding without our prior written permission.
If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use them for any lawful purpose without restriction or compensation to you.
11. Third-Party Services and Materials
The Service may rely on or interoperate with third-party services, including Amazon, Supabase, OpenAI, Google Books, Open Library, Wikidata, Render, Neon, Amplitude, Sentry, browser platforms, and payment providers if applicable.
We do not control third-party services and are not responsible for their acts, omissions, content, availability, or policies. Your use of third-party services may be subject to separate terms and privacy policies.
12. Export, Suspension, and Termination
You may stop using the Service at any time. If we provide export tools, you are responsible for using them before closing your account or discontinuing use. You may also request account or data deletion by contacting us at librarian@syntopica.ai, subject to applicable law, verification, backup retention, and our service-provider processes.
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe:
- you violated these Terms;
- your use poses a security, legal, or financial risk;
- your use could harm the Service, other users, or third parties; or
- suspension or termination is required by law or by a service provider relationship.
Sections that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, limitations of liability, disputes, and any accrued payment obligations.
13. Availability; Changes to the Service
We may modify, update, suspend, or discontinue all or part of the Service at any time. We do not guarantee that the Service or any feature will always be available, uninterrupted, error-free, or compatible with every device, browser, third-party site, or workflow.
We may release updates to the browser extension or web app automatically or require you to install updates to continue using certain features.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, SKYLARK DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will meet your requirements, that it will be uninterrupted, secure, or error-free, that defects will be corrected, or that content or AI outputs will be accurate, reliable, complete, or suitable for your needs.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYLARK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SKYLARK AND THE OTHER PARTIES DESCRIBED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SKYLARK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, fraud, or willful misconduct where such limitations are prohibited.
16. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Skylark and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your User Content;
- your use of the Service;
- your violation of these Terms; or
- your violation of any law or third-party right.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Colorado, and you and Skylark consent to personal jurisdiction and venue in those courts, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
Before filing a claim, you agree to first contact us at librarian@syntopica.ai and make a good-faith effort to resolve the dispute informally.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, by email, through the Service, or by another reasonable method. Your continued use of the Service after the updated Terms become effective means you accept the changes.
19. General
These Terms, together with any additional terms presented to you for specific features and our Privacy Policy, form the entire agreement between you and Skylark regarding the Service and supersede prior agreements relating to the same subject matter.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
